1. INTRODUCTION
These Terms of Use (“Terms”) form a legally binding agreement between you (“you” or “User”) and BITHYVE UK LTD (“BITHYVE,” “we,” or “us”), a limited liability company registered in the United Kingdom (Company Number: [insert company number]), governing your use of the Bitcoin Tribe App (the “App”).
By accessing, downloading, or using the App, you confirm that you accept these Terms and agree to comply with them. You should read these Terms carefully and retain a copy for future reference.
These Terms may be updated periodically to reflect regulatory changes or operational updates. Your continued use of the App signifies acceptance of these updates.
The App is an experimental, non-custodial digital asset wallet utilizing the RGB Protocol on the Bitcoin blockchain. The use of experimental software involves inherent risks, including technical failure or security vulnerabilities. You accept these risks by using the App.
2. DEFINITIONS
- App: Bitcoin Tribe, the non-custodial mobile digital asset wallet developed by BITHYVE UK LTD.
- Associates: BITHYVE UK LTD, its shareholders, subsidiaries, affiliates, directors, officers, employees, contractors, licensors, agents, and partners.
- BTC: Bitcoin held on-chain on the Bitcoin blockchain.
- Digital Asset: Includes Bitcoin (BTC) and RGB Tokens supported within the App.
- Economic Sanctions: Financial sanctions, trade embargoes, and restrictive trade measures enacted or enforced by applicable laws.
- FCA: The Financial Conduct Authority of the United Kingdom.
- Government: Any governmental authority exercising executive, legislative, judicial, regulatory, or administrative powers.
- Losses: Claims, losses, liabilities, costs, expenses, damages, penalties, or fines.
- Person: Individuals, corporations, partnerships, trusts, estates, associations, and other entities.
- Prohibited Jurisdiction: Jurisdictions subject to sanctions by the UK, US, EU, or UN authorities.
- Prohibited Person: Any individual or entity subject to Economic Sanctions or residing in a Prohibited Jurisdiction.
- RGB Protocol: An open-source smart contracts system operating on the Bitcoin blockchain.
- Sanctions List: Sanctioned or restricted party lists maintained by regulatory authorities, including OFAC, HM Treasury, and similar entities.
- Sanctioned Person: Individuals or entities listed on a Sanctions List.
- Supported Assets: BTC and Digital Assets created through the RGB Protocol.
- Supported Asset Networks: The Bitcoin blockchain and RGB Protocol.
- User: Any person who accesses or uses the App.
- UTXO: Unspent transaction output on the Bitcoin blockchain.
- Wallet Address: An alphanumeric identifier used to hold, store, and transfer Digital Assets.
3. USER ELIGIBILITY
Users must be at least 18 years old and capable of entering into legally binding agreements under UK law.
Users must not be resident or operating in jurisdictions sanctioned by UK, US, UN, or EU authorities.
4. LICENCE TO USE THE APP
BITHYVE grants you a non-exclusive, revocable, non-transferable licence to use the App for personal, lawful purposes in accordance with these Terms.
You must not modify, distribute, reverse-engineer, or commercially exploit the App.
5. USER RESPONSIBILITIES
Users are responsible for securely managing their private keys and backup recovery phrases. BITHYVE does not hold user private keys and cannot recover lost keys or digital assets.
Users agree to comply with all applicable laws, including anti-money laundering (AML) and counter-terrorist financing (CTF) regulations.
You must not use the App for any unlawful or prohibited purposes, including facilitating transactions involving sanctioned persons or jurisdictions.
6. RISKS AND DISCLAIMERS
Digital assets are volatile and can fluctuate significantly in value. Users accept the risk of financial loss.
BITHYVE provides the App on an “as-is” basis without warranties regarding its functionality, availability, or security.
Transactions submitted via the App depend on third-party blockchain networks. BITHYVE does not control these networks and cannot guarantee transaction success or processing time.
7. LIABILITY AND INDEMNITY
BITHYVE’s liability is limited to the maximum extent permitted under UK law. We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the App.
Users agree to indemnify BITHYVE against all claims, losses, or expenses arising from their breach of these Terms or misuse of the App.
8. COMPLIANCE WITH FCA AND UK REGULATIONS
The App does not currently fall under regulated activities defined by the FCA. Should regulatory requirements change, BITHYVE reserves the right to adjust operational practices and terms accordingly.
9. DATA PROTECTION
BITHYVE processes personal data in accordance with UK GDPR and our Privacy Policy.
10. TAX COMPLIANCE
Users are responsible for assessing and complying with their tax obligations related to digital asset transactions.
11. TERMINATION
BITHYVE reserves the right to suspend or terminate your access to the App without prior notice if you violate these Terms or applicable laws.
12. DISPUTE RESOLUTION
Disputes arising from these Terms or the use of the App shall be governed by English law. Parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
